Ownership without an exit clock
Most private equity buys to sell within five years. We do not. Waghorn Capital Co invests its own capital into a small number of British businesses and intends to hold them as owned or majority stakes indefinitely.
Why we exist
A generation of successful UK business owners are approaching retirement without an obvious successor. Their options are usually a trade buyer who strips out the team, or a fund that loads the balance sheet and resells in three years. Neither serves the business, its staff or its customers.
Waghorn Capital Co was formed to be a third option: a permanent home for good companies. We acquire majority stakes, keep the brand and the people, and reinvest profits into the things that make the business more durable — systems, sales capability, compliance and leadership.
What we bring
Capital is the easy part. What most owner-managed companies actually lack is commercial infrastructure: proper management reporting, a repeatable sales process, IT and security that works, and a leadership layer beneath the founder. That is where we spend our time.
How we behave
We are direct about price early, we do not retrade after heads of terms, and we keep processes short and confidential. If we cannot do a deal, we say so quickly rather than tying up an owner for months.
Four things we hold to
Continuity first
The brand, the team and the customer promise survive the transaction.
Sensible leverage
We do not put a business at risk to improve our own return profile.
Operators, not spectators
Board discipline plus practical help where management asks for it.
